Software License Agreement for RTG Conflicts

Subject to the terms and conditions of this License, RTG grants You a non-exclusive, site-wide license to install and use RTG Conflicts for use only by You at one physical site. RTG Conflicts is "installed" on a computer or network when it is copied onto any storage device on that computer or network.

The Software is distributed as a fully-functional trial program that expires 45 days after first use. To continue to use the Software after the trial period, You must purchase a license key from RTG. A separate license key must be purchased for each end user (You, an individual or entity).

The Software is owned by RTG and/or third-party suppliers and is protected by United States copyright laws and international treaty provisions. You must treat the Software and the documentation accompanying the Software like any other copyrighted material except that You may transfer the Software and documentation to a single computer or Network, provided You keep the original solely for backup purposes.

You may not rent or lease the Software. You may not modify, reverse engineer, decompile, disassemble, or make derivatives of the Software.

You may transfer Your rights under this License on a permanent basis provided You transfer this License Agreement, the Software, and all accompanying written materials (if any) and retain no copies, and the recipient agrees to the terms of this License. Any transfer of the Software must include the most recent update and all prior versions.

This License is effective until terminated. Either party may terminate this License upon notice to the other party. Upon termination, You must destroy all copies of the Software.

RTG warrants that the Software will perform substantially in accordance with the accompanying documentation for a period of ninety (90) days from the date of purchase. Any implied warranties on the Software are limited to ninety (90) days. No software is completely error-free. RTG does not warrant that the Software will operate without errors. We do welcome comments and suggestions for improvements.

RTG's entire liability and Your exclusive remedy shall be, at RTG's option, either (a) return of the price paid or (b) replacement of the Software that does not meet RTG's Limited Warranty.

IN ALL OTHER RESPECTS, THIS PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RTG SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE, THE RESULT OF USE, OR THE INABILITY TO USE THIS PRODUCT.

Some states do not allow the exclusion or limitation of implied warranties or limitation of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to You.

This License shall in all respects be governed by the laws of the State of California, without reference to the rules of any jurisdiction concerning conflicts of laws. You agree that all disputes arising out of this License shall be subject to the exclusive jurisdiction of and venue in the federal and state courts located in Los Angeles County, California, and You hereby consent to the personal jurisdiction and venue of these courts. No claim arising out of or in connection with this License may be brought by You more than one (1) year after the cause of action on which it is based has accrued.
